Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and FlipDevices ("FlipDevices", "we", "us", "our") governing your use of flipdevices.com and our device buyback service (collectively, the "Service"). By accessing the Service, submitting an offer request, or shipping a device to us, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Definitions
- Device: any phone, tablet, laptop, smartwatch, game console, audio device, or other electronic item submitted to FlipDevices for sale.
- Offer: the dollar amount we quote based on the description, model, and condition you provide.
- Revised Offer: an updated dollar amount we send after physically inspecting your Device.
- Payout: the final payment sent to you via Zelle or PayPal after verification.
3. Eligibility
To use FlipDevices you must:
- Be at least 18 years old and able to form a binding contract.
- Be a legal resident of the United States with a valid U.S. mailing address.
- Be the lawful owner of the Device, or have explicit authorization from the owner to sell it.
- Have the legal right to transfer the Device free of any liens, financing balances, carrier locks, MDM/EMM enrollment, or activation locks (iCloud/Google Account).
4. The Offer Process
- Quote: You submit your device model and condition; we generate an Offer. Offers are quotes, not guarantees, and are valid for 14 days.
- Shipping label: We email a free prepaid USPS shipping label. You are responsible for packing the Device securely.
- Inspection: Upon arrival we inspect, power on, and test the Device, run an IMEI/ESN status check, and confirm condition.
- Acceptance or Revised Offer: If the Device matches your description, we pay the Offer amount. If condition differs, we send a Revised Offer.
- Payment: Payment is sent via Zelle or PayPal, typically within 1–2 business days of acceptance.
5. Revised Offers, Returns & Abandoned Devices
- You have 7 calendar days from the date the Revised Offer is sent to accept, decline, or request a return.
- If you decline, we return the Device free of charge to the address on file.
- If you do not respond within 7 days, we will send a second notice and wait an additional 14 days.
- If you do not respond within 21 total days after the Revised Offer, the Device is deemed abandoned. We may recycle, refurbish, or resell it without further obligation to you and without any payment owed.
- Devices that arrive with carrier financing balances, iCloud/Google activation locks, MDM enrollment, blacklisted IMEI, or evidence of theft are reported per Section 7 and not returned.
6. Cancellation
You may cancel your offer at any time before shipping by emailing support@flipdevices.com. Once your Device is in transit or received, cancellation is handled through the Revised Offer / return process in Section 5.
7. Prohibited Devices & Conduct
You agree not to submit:
- Devices you do not lawfully own.
- Stolen or lost devices, or devices reported to law enforcement.
- Devices with an unpaid carrier financing balance ("bad ESN" / "blacklisted").
- Devices with an active iCloud, Google FRP, MDM, or activation lock.
- Devices that have been intentionally damaged to misrepresent condition.
We cooperate with law enforcement and may report suspected stolen or fraudulent devices, including providing your contact information, shipping address, IMEI/serial, and tracking details.
8. SMS Messaging Terms
Program: FlipDevices Order Updates.
Description: When you provide your mobile number and check the SMS consent box at checkout, FlipDevices may send you transactional text messages about your offer and order, including offer quotes, shipping label and tracking updates, item verification status, payment confirmations, and replies to support questions.
- Message frequency: Varies based on your order activity.
- Costs: Message and data rates may apply.
- Opt out: Reply STOP to any message at any time. You will receive a confirmation and no further messages.
- Help: Reply HELP or email support@flipdevices.com.
- Carriers: Supported on most major U.S. carriers. Carriers are not liable for delayed or undelivered messages.
- Privacy: FlipDevices does not share or sell mobile phone numbers or SMS opt-in data with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.
9. Payment Terms
- All Payouts are in U.S. dollars.
- You are responsible for providing accurate Zelle/PayPal information. We are not liable for payments sent to incorrect details you provided.
- You are responsible for any taxes owed on income from selling your Device.
- Payments are typically sent within 1–2 business days of inspection acceptance.
10. Intellectual Property
All content on flipdevices.com — including the FlipDevices name, logo, pixel-art device illustrations, copy, layout, and code — is owned by FlipDevices or its licensors and is protected by U.S. copyright and trademark law. You may not copy, modify, distribute, or use our content for commercial purposes without our written permission.
11. Disclaimers & "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT QUOTES WILL REMAIN AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPDEVICES' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT OF YOUR PAYOUT (OR $100, WHICHEVER IS GREATER). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
13. Indemnification
You agree to indemnify, defend, and hold harmless FlipDevices and its operators from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your submission of a Device you did not lawfully own or that was subject to a lien, lock, or theft report; (c) inaccurate Zelle/PayPal details you provided; or (d) your violation of any law.
14. Dispute Resolution & Binding Arbitration
PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, in Oklahoma County, Oklahoma, or via telephone/video at your election. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS-ACTION WAIVER: You and FlipDevices agree that disputes must be brought individually, not as part of a class, collective, or representative action.
Exceptions: either party may bring an individual action in small-claims court, and either party may seek injunctive relief in court for intellectual-property infringement. You may opt out of arbitration within 30 days of first using the Service by emailing support@flipdevices.com with "Arbitration Opt-Out" in the subject line.
15. Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles. Subject to Section 14, any court action must be filed in the state or federal courts located in Oklahoma County, Oklahoma.
16. Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemics, government action, labor disputes, internet/utility outages, or carrier (USPS/UPS/FedEx) service disruptions.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated by email or a notice on the site. Continued use of the Service after changes constitutes acceptance of the updated Terms.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlipDevices regarding the Service and supersede any prior agreements.
